1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AK DONKEYHOST, a registered trade name of Proadco Expert Software | Proadco Limited (HE 68072), with registered office at Arch. Makariou III 137 & Papadiamanti 2, 3021 Limassol, Cyprus, VAT: CY10068072T ("DonkeyDocs," "we," "us," or "our") concerning your access to and use of the DonkeyDocs document management platform at donkeydocs.ai.

By registering for an account, purchasing a subscription, or using our platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.

These Terms are governed by the laws of Cyprus and the European Union. Nothing in these Terms affects your statutory rights as a consumer under EU law, including mandatory consumer protection rules of your country of habitual residence (Regulation (EC) 593/2008, Article 6(2)).

2. Service Description

DonkeyDocs is a cloud-based document management system ("Service") that provides:

Document storage: Secure cloud storage backed by Amazon S3 (EU data center)
AI classification: Automatic document type detection, metadata extraction, and text recognition
Search: Full-text and AI-powered semantic search across your documents
AI chat: Natural language queries about your document content
Team access: Multi-user access with role-based permissions
Audit logging: Activity tracking for compliance purposes

All data is stored on AWS infrastructure in the European Union (eu-central-1). Features and storage allocations are subject to your subscription plan.

3. Account Terms

3.1 Account Creation

You must be at least 18 years old to create an account
You must provide accurate, current, and complete information during registration
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized use of your account

3.2 Account Security

You are solely responsible for securing your account. We recommend using strong passwords. DonkeyDocs is not liable for any loss or damage arising from your failure to maintain account security, except where caused by our negligence.

4. Pricing and Payment

4.1 Subscription Plans

DonkeyDocs is offered on three subscription tiers, billed monthly in EUR and exclusive of any applicable VAT:

Starter — EUR 29/month. Up to 5 users, 100 GB storage, core document management with AI classification.
Professional — EUR 59/month. Up to 25 users, 500 GB storage, AI chat, teams, correspondence templates, reports, API access.
Enterprise — EUR 99/month. Unlimited users, 2 TB storage, priority support, custom branding, full API access, and all Professional features.

Additional storage, seats, or custom pricing are available by contacting us. Current pricing is always published on our pricing page; the plan you are on when you subscribe is the plan to which these Terms apply.

4.2 Billing

Subscriptions are billed monthly via Stripe. All prices are in EUR and exclude applicable taxes (VAT).

4.3 Free Trial

We offer a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you must subscribe to continue using the Service.

4.4 Cancellation

You may cancel your subscription at any time from your Settings page. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period.

4.5 Right of Withdrawal (EU Consumers)

Under the EU Consumer Rights Directive (2011/83/EU), you have the right to withdraw from your purchase within 14 days without giving any reason. To exercise this right, contact us at info@donkeydocs.ai. If you have used the Service during the withdrawal period, you may be charged proportionally for the period of use.

5. Your Documents and Data

5.1 Ownership

You retain full ownership of all documents and data you upload to DonkeyDocs. We do not claim any intellectual property rights over your content.

5.2 License to Process

By uploading documents, you grant us a limited license to process your content solely for the purpose of providing the Service — including AI classification, text extraction, search indexing, and generating embeddings. We do not use your documents to train AI models.

5.3 Backups

While we take reasonable measures to protect your data (including S3 durability and encrypted storage), you are responsible for maintaining your own backups. We are not liable for data loss except where caused by our negligence.

5.4 Data After Termination

Upon account deletion, your documents and data are permanently deleted within 30 days. AI-generated metadata and search indexes are deleted immediately. Audit logs are anonymized and retained for 7 years per Cyprus tax law.

6. Acceptable Use

You agree not to:

Upload content that is illegal, harmful, or violates the rights of others
Use the Service to store or distribute malware
Attempt to access other users' accounts or data
Use automated tools to scrape or overload the Service
Resell or sublicense the Service without written permission

Violation may result in immediate account suspension or termination.

7. AI Processing

DonkeyDocs uses third-party AI services (including OpenAI, Google Gemini, and Anthropic Claude) to classify documents and extract metadata. When you upload a document:

Document text is sent to AI providers for classification and metadata extraction
AI providers process the text under their own data processing agreements with us
We do not allow AI providers to use your data for training purposes
AI processing results are stored within our EU infrastructure

8. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance where possible. We are not liable for service interruptions caused by factors beyond our control, including but not limited to AWS outages, internet connectivity issues, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by applicable law, DonkeyDocs' total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. This limitation does not apply to liability that cannot be excluded under applicable law (including EU consumer protection law).

10. Data Processing

When you upload documents containing personal data of third parties (e.g., client records, employee files), you act as the data controller and DonkeyDocs acts as the data processor under GDPR Article 28.

We process such data solely on your documented instructions, implement appropriate technical and organizational measures, and assist you in fulfilling your GDPR obligations. A separate Data Processing Agreement (DPA) is available upon request at info@donkeydocs.ai.

11. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance. If you do not agree, you may cancel your subscription.

12. Warranty Disclaimer

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, except those that cannot lawfully be excluded under applicable EU consumer protection law. We do not warrant that the Service will be uninterrupted, error-free, or meet any specific uptime beyond the target expressed in Section 8. Your statutory rights as a consumer under EU law are unaffected by this Section.

13. Indemnification

You agree to indemnify and hold DonkeyDocs, its officers, employees, and contractors harmless from any third-party claim, demand, loss, liability, or expense (including reasonable legal fees) arising from (a) content you upload that infringes intellectual property rights, violates privacy or data protection law, or otherwise breaches these Terms, or (b) your misuse of the Service in violation of Section 6. This Section does not limit your statutory rights as a consumer.

14. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under these Terms caused by events beyond its reasonable control, including natural disasters, acts of war or terrorism, civil disorder, government actions, labor disputes, utility or network outages, supplier failure (including AWS outages), cyberattacks, or pandemics. The affected party shall notify the other promptly and use commercially reasonable efforts to resume performance.

15. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign this Agreement, in whole or in part, to a successor in connection with a merger, acquisition, reorganization, or sale of assets, provided the successor agrees in writing to be bound by these Terms. We will notify you of any such assignment via email or in-app notification.

16. Survival

The following Sections survive termination or expiration of this Agreement: Section 5 (Your Documents and Data) with respect to obligations and rights regarding content retained under our data retention policy, Section 9 (Limitation of Liability), Section 10 (Data Processing) for the duration of applicable retention periods, Section 13 (Indemnification), Section 20 (Governing Law and Disputes), and any provision that by its nature should survive.

17. Entire Agreement

These Terms, together with our Privacy Policy and any Data Processing Agreement (DPA) separately executed between us, constitute the entire agreement between you and DonkeyDocs regarding the Service and supersede any prior agreements, proposals, or representations, whether oral or written.

18. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court or other authority of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced, to the extent possible, by a valid and enforceable provision that most closely approximates the original intent.

19. Electronic Communications

By creating an account or using the Service, you consent to receive service-related communications from us electronically, including account notifications, billing receipts, security alerts, policy updates, and responses to support requests. You may opt out of non-essential marketing emails at any time via the unsubscribe link in such emails; you cannot opt out of transactional messages required to operate your account.

20. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Cyprus. Any dispute arising from these Terms or the Service shall be resolved by the competent courts of Limassol, Cyprus, without prejudice to your right as an EU consumer to bring proceedings in the courts of your habitual residence.

If you are an EU consumer, you may also use the EU Online Dispute Resolution platform.
